1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of One Startup a Day (OSD), including the daily idea drops, founder tools, web applications, and any related communications (collectively, the “Services”). By creating an account, subscribing, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services immediately.

2. Eligibility & Accounts

• You must be at least 16 years old to use the Services. If you are under the age of majority in your jurisdiction, you may only use the Services under the supervision of a parent or guardian who agrees to the Terms.
• You agree to provide accurate, current, and complete account information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• We reserve the right to suspend or terminate your account if we detect suspicious activity, a breach of these Terms, or misuse of the platform.

3. Subscriptions & Billing

Some Services may require paid subscriptions or offer optional paid products. When you purchase a subscription:

• You authorise us (or our third-party payment processor) to charge you the applicable fees in the currency displayed at checkout.
• Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You can cancel at any time through your account settings; cancellation takes effect at the end of the current billing cycle.
• Fees are non-refundable except as required by applicable law or provided explicitly in a specific offer.

4. Intellectual Property

• All content provided through the Services—including curated ideas, research notes, playbooks, design assets, and branding—is owned by OSD or its licensors.
• We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your personal or internal business purposes.
• You may not copy, redistribute, resell, frame, scrape, or otherwise exploit our content without express written permission, except as permitted under applicable law.

5. Founder Conduct

• Use the Services responsibly, in compliance with all applicable laws and regulations.
• Do not attempt to reverse engineer, disrupt, or compromise the platform, including through automated scripts or scraping.
• Do not post or transmit harmful, defamatory, or infringing content through feedback channels or collaborative features.
• Respect intellectual property rights when acting on the ideas shared through the Services.

6. Confidentiality & Founder Submissions

OSD curates public data, emergent trends, and community inputs. While we do not claim ownership over user-generated ideas or submissions, you grant OSD a non-exclusive, worldwide, royalty-free licence to analyse, summarise, and share submissions with attribution, unless you explicitly request confidentiality in writing.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. OSD does not guarantee that any idea will achieve product-market fit, generate revenue, or succeed commercially. Each founder is responsible for validating, building, and operating their own venture.

8. Limitation of Liability

To the fullest extent permitted by law, OSD and its team are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Services. Our total cumulative liability for any claim is limited to the amount you paid to use the Services in the 12 months prior to the claim.

9. Indemnity

You agree to indemnify and hold harmless OSD, its affiliates, and team members from any claims, damages, losses, and expenses, including legal fees, arising from your misuse of the Services or violation of these Terms.

10. Cancellation & Termination

• You may cancel your subscription at any time via your account settings or by contacting support.
• We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or engage in behaviour that harms the Services or other founders.
• Upon termination, sections 4 (Intellectual Property), 7 (Disclaimer), 8 (Limitation of Liability), and 9 (Indemnity) survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in London, United Kingdom, or another jurisdiction mutually agreed between the parties.

12. Changes to These Terms

We may update these Terms to reflect product changes, legal requirements, or regulatory guidance. We will post updates on this page and, when material, notify you via email or in-app message. Continued use of the Services after the effective date of changes constitutes your acceptance of the updated Terms.
